Orchard View Education Foundation First Board Meeting Minutes

1. Call to Order and Quorum Check
● The meeting was called to order by Alaina Carpenter.
● A quorum was confirmed, with four out of five board members present.
● The agenda was approved by a motion, which was seconded and carried.
● A motion to appoint Elena Carpenter as temporary chair and William O'Neill as
temporary secretary was seconded and carried.
2. Adoption of Bylaws and Appointment of Officers
● A motion to adopt the presented bylaws as the official bylaws of the organization was seconded and carried.
● The following officers were appointed:
○ President: Alaina Carpenter
○ Treasurer: Sierra Tobler
○ Secretary: William O'Neill
● The principal office was designated at 700 Watertrough Road, Sebastopol, California, through a motion that was seconded and carried.
● A motion to authorize the treasurer to open a corporate account at Redwood Credit Union was seconded and carried.
3. Legal and Financial Authorizations
● A motion was made and carried to authorize the treasurer and president as signatories on all corporate bank accounts.
● The president was authorized to apply for tax-exempt status under the 501(c)(3) IRS Code, as per a motion that was seconded and carried.
● A motion to authorize Alaina Carpenter to file all necessary reports and registration statements required by state statutes was seconded and carried.
4. New Business and Future Meetings
● The board discussed the need to finalize the bank account and approve an official version of the bylaws.
● Future meeting dates were considered, and the next meeting was scheduled for October 25th at 11:30 am on Zoom.
● A motion to adjourn the meeting was seconded and carried.
Action Items:
● Sierra Tobler will finalize the paperwork for the corporate bank account and open accounts.
● Teachers will provide more specific details for their funding requests.
● Alaina Carpenter will submit the necessary paperwork for tax-exempt status.
